1. Introduction

Welcome to enablefinance.com (the "Website"), operated by In.spiritu Ltd, trading as "Enable Finance" ("we", "us", "our", "Enable Finance"). These Terms of Service ("Terms") govern your access to and use of the Website and any services, tools, calculators, applications, or content we provide through it (together, the "Services").

By accessing or using the Website, submitting an enquiry, or using our loan calculator, pre-approval check, or AI lending advisor tool, you agree to be bound by these Terms. If you do not agree, you must not use the Website or Services.

These Terms should be read alongside our Privacy Policy, which explains how we collect and use your personal data.

3. Definitions

"Lender(s)" means the panel of third-party banks, financial institutions, and specialist finance providers to whom we may introduce you.

"Application" means any application for finance you submit, whether via the Website or otherwise, to a Lender through our introduction.

"You" / "your" means the business, sole trader, partnership, or individual acting for business purposes who uses the Website or Services.

4. Our Role — Business Finance Introducer, Not a Lender

4.1 Enable Finance is a commercial finance broker and introducer. We do not lend money ourselves. We help match businesses with third-party Lenders from our panel and support the application process.

4.2 We are not currently authorised or regulated by the Financial Conduct Authority ("FCA"). Our Services are provided exclusively in relation to business and commercial finance for limited companies, limited liability partnerships, and other business entities, and are not intended for, and must not be used to arrange, regulated credit agreements as defined under the Financial Services and Markets Act 2000 and the Consumer Credit Act 1974 (as amended). If, in the course of an enquiry, it becomes apparent that the finance you require would constitute a regulated credit agreement (for example, credit intended wholly or predominantly for personal purposes, or lending secured on a residential property in specific circumstances), we will not proceed with that introduction and will, where possible, refer you to an appropriately FCA-authorised adviser or broker.

4.3 We do not provide financial, legal, tax, or investment advice. Any information on the Website, including guides, calculators, and the AI lending advisor tool, is provided for general information only and does not constitute a personal recommendation. You should seek independent professional advice before entering into any finance agreement.

4.4 We do not guarantee that we will find you a Lender, that any Application will be approved, or that any rates, terms, or lending amounts displayed on the Website (including indicative figures from our loan calculator or "likelihood" indicators) will be offered to you. All lending decisions are made solely by the relevant Lender, at their discretion, based on their own criteria.

5. Eligibility

5.1 To use our Services you must be: (a) acting for the purposes of a trade, business, or profession, and not as a consumer; (b) at least 18 years old; and (c) authorised to act on behalf of the business submitting the enquiry or Application.

5.2 We may decline to provide Services to you, or to proceed with any Application, at our discretion, including where we reasonably suspect fraud, misrepresentation, or misuse of the Website.

6. How Our Service Works

6.1 When you submit an enquiry, we will ask for information about your business, including trading history, turnover, and the finance you require. We use this information, together with data from credit reference and fraud prevention agencies, to identify Lenders who may be able to assist.

6.2 Initial matching is typically carried out using a soft search, which does not affect your credit score and is not visible to other lenders. A hard credit search will only be carried out with your knowledge once you choose to proceed with a full Application to a specific Lender.

6.3 Indicative figures, "likelihood" scores, and pre-fill results generated by our website tools (including any AI-assisted matching) are estimates based on the limited information provided at that stage. They are not offers of finance and are not binding on us or any Lender.

6.4 Where we introduce you to a Lender, that Lender's own terms and conditions, privacy policy, and application process will apply to your Application. We are not a party to any finance agreement you enter into with a Lender.

7. Fees and Commission

7.1 We do not charge you an upfront fee to use our matching service or to submit an enquiry.

7.2 We may receive a commission or fee from a Lender if you take out a finance product following our introduction. The amount and structure of this commission varies by Lender and product and may be disclosed to you before you proceed with an Application, on request, or as required by law.

7.3 For certain specialist services (for example, complex restructuring, CVA, or pre-pack administration funding support), we may charge a separate fee to you directly. Where this applies, we will agree the fee with you in writing before any chargeable work begins.

8. Information You Provide

8.1 You are responsible for ensuring that all information you submit to us or to any Lender is accurate, complete, and not misleading. Providing false or misleading information may result in your Application being declined, delayed, or reported to relevant authorities, and may constitute fraud.

8.2 We are entitled to rely on the information you provide without independently verifying it, unless we tell you otherwise.

9. Data Protection and Privacy

9.1 We are registered with the Information Commissioner's Office under registration number ZB830848. We process personal data in accordance with UK data protection law and our Privacy Policy, available at enablefinance.com/privacy-policy.

9.2 By using the Website, you consent to us sharing relevant information with Lenders, credit reference agencies, and fraud prevention agencies for the purposes of assessing and progressing your enquiry or Application, as further described in our Privacy Policy.

10. Intellectual Property

10.1 All content on the Website, including text, graphics, logos, tools, and calculators, is owned by or licensed to In.spiritu Ltd and is protected by copyright, trade mark, and other intellectual property laws.

10.2 You may view and download content from the Website for your own personal or internal business use only. You must not reproduce, republish, distribute, or exploit any content commercially without our prior written consent.

11. Acceptable Use

You must not use the Website: to submit false, fraudulent, or misleading information; to attempt to gain unauthorised access to our systems; in any way that breaches applicable law; or to introduce viruses, malware, or other harmful code.

We may suspend or terminate your access to the Website or Services immediately, without notice, if we reasonably believe you have breached this Section.

12. Third-Party Lenders and Links

12.1 The Website may contain links to, or facilitate introductions to, third-party Lenders and other organisations. We do not control and are not responsible for the content, terms, products, or services of any third party.

12.2 Any agreement you enter into with a Lender is between you and that Lender. We are not liable for any acts, omissions, products, or services of any Lender, including their lending decisions, terms offered, or conduct during the application process.

13. Limitation of Liability

13.1 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by law.

13.2 Subject to Section 13.1, we provide the Website and Services on an "as is" and "as available" basis and, to the extent permitted by law, exclude all warranties, conditions, and representations, whether express or implied.

13.3 Subject to Section 13.1, our total liability to you arising out of or in connection with your use of the Website or Services, whether in contract, tort (including negligence), or otherwise, shall not exceed £1,000.

13.4 We shall not be liable for any indirect or consequential loss, loss of profits, loss of business, loss of anticipated savings, or loss of goodwill, even if we have been advised of the possibility of such loss.

14. Indemnity

You agree to indemnify us against any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Website, or any information you provide that is false or misleading.

15. Complaints

15.1 If you are unhappy with our service, please contact us using the details in Section 20. We will acknowledge your complaint promptly and aim to resolve it as quickly as possible.

15.2 As we are not FCA-authorised, complaints about our introducer service are not eligible for referral to the Financial Ombudsman Service. Complaints about a Lender's own product, once you have entered into an agreement with them, should generally be directed to that Lender in the first instance, in accordance with their own complaints procedure.

16. Termination

We may suspend, restrict, or terminate your access to the Website or Services at any time, for any reason, including if we reasonably believe you have breached these Terms. You may stop using the Website at any time.

17. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, our business, or legal and regulatory requirements. The current version will always be available on the Website, and the "Last updated" date at the top will show when it was last revised. Continued use of the Website after changes take effect constitutes acceptance of the revised Terms.

18. General

18.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us in relation to your use of the Website and Services.

18.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

18.3 No Waiver: Our failure to enforce any provision of these Terms shall not be treated as a waiver of that provision.

18.4 Assignment: We may transfer or assign our rights and obligations under these Terms to another organisation. You may not transfer or assign your rights or obligations without our prior written consent.

19. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), shall be governed by and construed in accordance with the law of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim.
